  1. The terms for the general public when visiting and viewing our website (Ocelot+ Website Terms of Use); and
  2. The terms for our customers, the users of the actual practice management software (Ocelot+ Customer Terms of Service).

Ocelot+ Website Terms of Use

Thank you for visiting the Ocelot+ website.

Our website, its linked pages, landing pages, social media accounts, and our other promotional assets where you can access information about our practice management software - Ocelot+, are governed by the following terms. By accessing and using these assets, you agree to our Website Terms of Use.

Our Website Terms of Use is governed by and construed in accordance with the laws of the State of New South Wales.

USE OF THE WEBSITE, PERMISSIONS, AND PROHIBITIONS

  1. Visitors are free to use the content found on our website for their non-commercial, personal purposes and/or to learn more about our practice management software, Ocelot+.
  2. The content on our website is not intended for anyone under 18 years of age. This is mentioned in our Privacy Policy. If you are accessing and downloading our content, interacting with us through any of our online assets including social media, or submitting information through forms found in our website and other marketing materials, you warrant that you are at least 18 years old and have the legal capacity and authority to conduct business transactions, online and offline.
  3. The website is to be used for lawful purposes only. Ocelot+ prohibits access to the website to:
    1. a. Steal information from others;
    2. b. Violate the rights of others;
    3. c. Abuse, harm, or exploit children; and
    4. d. Spread, solicit, or exchange information or any materials that are false, malicious, obscene, vulgar, hateful, discriminatory, or can be used as an accessory to cause harm or to commit a criminal act.
  4. Copying, modifying, rebranding, or selling our content are violations to our Website Terms of Use.
  5. Duplicating our website, stealing our source codes, hacking our website, or attempting to do any of these actions, are violations to our Website Terms of Use.
  6. Submitting malicious data or launching bot attacks to our web forms are violations to our Website Terms of Use.
  7. We may limit a website visitor’s use and access of the website or any features of it if found to have committed any actions described in items 3 to 6 above.
  8. Visitors will comply with applicable laws within their state including those related but not limited to online use, privacy and safety, electronic communications, fraud and abuse, cyber intelligence, and child protection and safety.
  9. Computer viruses, computer or device malfunction, or any other issues resulting from accessing files or content from the website is outside our control. While we ensure that the entire website is safe and protected from any malicious files and content, we cannot guarantee the change in the characteristics of files during transmission. Upload and download information at your own risk.

CONTENT FOUND IN OUR WEBSITE

  1. For the general public most especially for eye care patients, any eye care-related articles and blogs featured on the website are not actual prescriptions, hence, discuss eye health issues and concerns with an eye care professional only. Do not replace or supplement their advice with the information that you read from our articles and blogs.
  2. For the general public most especially for eye care patients, Ocelot+ does not endorse any Practice. Any Practice that may be mentioned on our website or on any of our promotional materials usually serves as a reference for a testimonial regarding their use of our practice management software or as a subject matter resource.
  3. Our website carries business, eye care-related, and industry-specific content materials. While we ensure the veracity of the information that we publish, some errors might occur. Whether you are a practice or not, please feel free to report offensive, incorrect, inaccurate, or misleading information, should you find any while visiting our website. INDEMNIFICATION

You agree to release, indemnify, and hold Ocelot+ and its employees, management, and directors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  1. Your breach of our Terms of Use;
  2. Your improper use of our website, landing pages, social media pages, online assets, and other promotional materials;
  3. Your improper observance of website, promo mechanics, and other activity regulations; or
  4. Your interactions including transactions and communications with another user of the website whether a Visitor or a Practice.

Ocelot+ Customer Terms of Service

Thank you for using Ocelot+.

Ocelot+ is a cloud-based practice management software (the “Software”, “SaaS”, “software as a service”, “service”) developed by Opticare Pty Ltd with ABN 54 002 712 665. It was developed for the use of optical businesses, to help them manage their operations, marketing, sales, inventory, billing, and patient record-keeping in one central online dashboard.

This section of our Terms of Service is applicable to you if you are a current Ocelot+ user and has an active subscription with us (the “Customer”).

Through any of the actions below, you, as a Customer, warrants that you have read and understood our Customer Terms of Service:

  1. a.By accepting files, materials, training, and support after your application had been approved;
  2. b.By migrating your data to Ocelot+;
  3. c.By logging into Ocelot+;
  4. d.By entering data to Ocelot+;
  5. e.By performing actions through Ocelot+; and
  6. f.By securing payment to subscribe to any of our plans or to avail our add-on services.

Our Customer Terms of Service is governed by and construed in accordance with the laws of the State of New South Wales.

SUBSCRIPTION

  1. Ocelot+ grants its Customers access to the practice management software for the duration of their subscription with us, whether monthly or yearly (the “Subscription Term”).
  2. Customers may change their subscription plan and term anytime.
    1. a.Related to the upgrade will need to be paid for the added features to take effect. Once done, the subscription plan for the Customer is upgraded right away, no more waiting period.
    2. b.Downgrades will take effect at the end of the Customer’s current subscription term. No refunds will be provided.
    3. c.A monthly subscription term can be upgraded to a yearly subscription term. The total cost for 12 months will be charged immediately but will take effect by the end of the current monthly subscription term.
    4. d.A yearly subscription term can be downgraded to a monthly subscription term. A refund will be processed following this formula:

      Yearly subscription fee paid - (No. of months used x Cost of monthly subscription under the monthly payment scheme)

      For example:
      = $1,608 (Plan B at $134/month) - (8 months used x $149/month cost of subscription under the monthly payment scheme)
      = $416 refund
  3. To get the best user experience while subscribed, Customers are encouraged to:
    1. utilise the recommended system requirements;
    2. use the Ocelot+ Knowledge Base website for minor troubleshooting; and
    3. report any bugs or errors when they encounter it here or by emailing support@ocelotplus.com.au.
  4. Your subscription is not transferable and accessible to a different practice. A new practice or a new branch is equivalent to a new customer application.

SUBSCRIPTION TERMS

There are two available subscription terms for Ocelot+ Customers:

  1. Monthly subscription - charged monthly and renewed monthly unless cancelled.
  2. Annual subscription - charged at the beginning of the subscription term and renewed yearly unless cancelled.

BILLING CYCLE

  1. The billing cycle for monthly subscriptions starts on the day the first monthly subscription plan was paid. Unless cancelled, another billing cycle starts on the same day in the following month.

    Example:
    BILLING CYCLE 1: Started 18 January 2021 | ENDS: 17 February 2021.
    BILLING CYCLE 2: Started 18 February 2021 | ENDS: 17 March 2021.
  2. The billing cycle for annual subscriptions starts on the day the first annual subscription plan was paid. Unless cancelled, another billing cycle starts on the same day in the following year.

    Example:
    BILLING CYCLE 1: Started 18 January 2021 | ENDS: 17 January 2022.
    BILLING CYCLE 2: Started 18 January 2022 | ENDS: 17 January 2023.

ADD-ON SERVICES AND FEATURES

Add-on services and features are available to Ocelot+ Paid Subscription Plan Customers. These are charged separately on top of their subscription fees. Information for our add-ons are found here.

MULTIPLE STORES

PRICING AND PAYMENT

  1. Ocelot+’s pricing varies per subscription plan. Our pricing information is found here.
  2. All price includes GST.
  3. Upon selection of a paid subscription plan, a Customer needs to go through account verification. Once an account is verified, an email will be sent to the Customer to process payment.
  4. A Payments Page will be available for Customers to enter their credit cards details to be used for their account. We accept Mastercard and Visa. The subscription fees and other succeeding fees or add-on purchases will be charged to this credit card.
  5. The customer can change the credit card assigned to the account. This can be done in the profile settings section in the Ocelot+ dashboard.

ACCOUNT LOGIN

  1. Every account has its own username and password.
  2. A Customer may add more users who can access and manage the account. The number of users will depend on the Customer’s subscription plan.
  3. Each additional user will have a separate username and password.
  4. All usernames and passwords should be kept confidential.
  5. In case of forgotten/lost passwords, there is an option to retrieve/change it within the login area of the website.

PROHIBITIONS

Customers should not use Ocelot+ for the following reasons:

  1. Sell patient information that is stored in Ocelot+, to other parties;
  2. Store patient’s credit card details and other financial information;
  3. Use the software other than its intended use;
  4. Deliberate misuse, hacking, sabotaging, or any other malicious activities that could impair Ocelot+’s services and features.
  5. Resell or redistribute Ocelot+ to other practices. Interested customers should apply for an account directly with Ocelot+ only. Sign up here.

TERMINATION OF ACCOUNT

There are two ways by which a Customer can request to terminate the account:

  1. In the Ocelot+ dashboard; or
  2. email support@ocelotplus.com.au

Customers have the option to ask Ocelot+ to maintain their account data for up to 12 months only. If this is not enabled before termination, all account data will be deleted immediately.

SERVICE AND FEATURES MODIFICATION AND IMPROVEMENTS

As we are continuously improving Ocelot+, some modifications and improvements may take effect. These will be communicated through our different marketing channels. If these changes directly affect a customer given their chosen subscription plans then the customer will be notified directly through and email and in-app when they log in to Ocelot+.

If these changes entail additional costs, the customer will be given the option to proceed or to decline to that new service or feature.

PRIVACY POLICY

  1. Our Customer Terms of Service is being enforced alongside our Privacy Policy. Please review carefully.
  2. We trust that no part of the program will be shared and accessed by non-Customers, in other practices or businesses where the account is assigned or associated with. We also trust that no material provided for Customers only will be reproduced, rebranded, shared, or sold to non-Customers.
  3. All information, especially patient records, entered by account users to Ocelot+ should be kept confidential.

INDEMNIFICATION

  1. Ocelot+ will not be liable for any profit loss, increase in expenses, or any financial damage incurred by the practice whilst using the software.
  2. Ocelot+ is highly secure and is very safe to use. We will not be liable for any hardware or software damages that might happen in the device where Ocelot+ is being accessed or to any device who is in the same network as the device where Ocelot+ is being accessed.
  3. Ocelot+ will not be liable for any damages including criminal charges arising from the actions listed under “Prohibitions” in the Customers Terms of Service.
  4. As with any other cloud-based programs, Ocelot+ users may sometimes experience errors, issues, and downtimes. In our effort to be transparent to our Customers, we will publish details about these concerns in our System Status page. Resolutions and updates will be communicated as well through select marketing channels.   5. Customers agree to release, indemnify, and hold Ocelot+ and its employees, management, and directors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising from breach of this entire Customer Terms of Service.

CHANGES TO OUR CUSTOMER TERMS OF USE

The Ocelot+ Website Terms of Use were last updated on 18 January 2021.

These terms may be updated anytime without prior notice and are effective immediately. Customers will be updated through email or through a notification when they log in to Ocelot+.
